The Kentucky Educational Development Corporation (KEDC) Board of Directors met on March 19-20, 2008 at the Embassy Suites, Lexington, Kentucky.  Present were the following members and guests:

The KEDC Board of Directors meeting was called to order on Wednesday, March 19, 2008, at 3:00 PM by Chairwoman Kelley Crain with twenty-one (21) members present. Ms. Crain introduced and welcomed the guests to the Board of Directors meeting.

Ms. Linda Hatter, Policy Committee Chairwoman presented a Policy Amendments and Policy Committee report.

 

Ms. Sue Davis, KDE gave an update.

 

Mr. Wayne Young, KASA presented a Legislative Update.

 

Mr. Bill Scott, KSBA,  presented a Legislative update.

 

Dr. Blake Haselton, KASS presented a Legislative update.

 

Ms. Rosemarie Gold, MSU, presented information on the 5th Annual Morehead State University Teacher Exposition.

 

Ms. Brigid DeVries, KHSAA gave an update.

 

BUSINESS SESSION AGENDA

 

1.      Call to Order/Confirm Presence of Quorum (>25% requires 17 of 64 voting members)
Chairwoman Kelley Crain declared that a quorum was present.

 

2.      Actions By Consent
On the recommendation of the Executive Director, the Consent Items ( 2.1 to 2.7.7), were  approved on a motion by Mr. Joe Dan Gold, and seconded by Ms. Nancy Hutchinson.

 

2.1.   Approval of Minutes

Recommend approval of the attached minutes of the February 20, 2008 regular meeting.

 

2.2.   Approval of Financial Report and Orders of the Treasurer

Recommend approval of the financial reports for February 2008 and the Orders of the Treasurer for the period of February 1 through February 29, 2008.

 

2.3.   Personnel Report

Recommend that the Board acknowledge receipt of the Executive Director’s Report on Personnel Actions as follows:

 

2.3.1.            Employed Katalin McChesney, Lincoln Adult Education Instructor, for 9 hours per week to be paid from the Adult Education Masters Degree salary schedule, effective February 25, 2008. 

 

2.4.   Policy Revisions First Reading

Acknowledge the first reading of the KEDC Policy revisions as presented by the Policy and Bylaws Committee.

 

2.5.   Approval of Budget Amendments

Recommend approval of the amendments to the 2007-08 working budget shown in the attached spreadsheet.

 

2.6.   Collective Bidding

 

2.6.1.      Recommend acknowledgement of the Executive Director’s approval of bid contracts with the following list of vendors from the CLS2007.020 Catalog/Price List/Store Shelf bids which were opened and made effective on January 21, 2008.  We received 34 bids for CLS2007.020, of which 18 have been awarded, and 16 were rejected.
